1. Agreement to Terms

By accessing or using the AutoRecon platform and related services (the "Service") provided by AutoRecon, Inc. ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

AutoRecon provides a cloud-based financial reconciliation platform that helps businesses match bank transactions with invoices, ERP data, and other financial records. The Service may include integrations with third-party services (e.g., banks, ERPs) subject to their respective terms.

3. Account and Eligibility

You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when registering.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws
  • Upload or process data you do not have the right to use
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or sublicense the Service without our written consent

5. Your Data and Intellectual Property

You retain ownership of the data you upload or provide to the Service ("Your Data"). You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service. We do not claim ownership of Your Data. Our Service, including its design, features, and underlying technology, remains our intellectual property.

6. Fees and Payment

Fees for paid plans are as described on our pricing page or in your order form. You agree to pay all fees when due. We may change pricing with reasonable notice. Unpaid amounts may result in suspension or termination of your access.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason. You may cancel your account at any time. Upon termination, your right to use the Service ceases. We may retain Your Data as required by law or our data retention policy.

10. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
